16. 延期交貨和懲罰條款 Late Delivery and Penalty
如果有一方?jīng)]能按照合同規(guī)定的交貨時(shí)間交貨，或者沒(méi)能完全履行合同，另一方的利益勢(shì)必要受到損害。延期交貨和懲罰條款就是為了防止出現(xiàn)利益糾紛而設(shè)置的。
我們通過(guò)兩段例文來(lái)看看這個(gè)條款都應(yīng)該具體規(guī)定些什么：
例1：如果乙方因自身原因而未準(zhǔn)時(shí)完工，乙方應(yīng)付違約罰款，每天按總價(jià)的千分之一計(jì)算，即一千二百六十美元整。
If party B fails to finish the work on schedule due to party B's own actions,
he shall pay to the other party the penalty at 1‰ of the total value of the work
per day, that is USD one thousand two hundred and sixty dollars.
例2：如果合資一方未能按本合同第5條規(guī)定按期付款，違約方應(yīng)在逾期后一個(gè)月付給另一方10%的利息。如果違約方逾期3個(gè)月仍未付款，合同另一方根據(jù)本合同第53條規(guī)定有權(quán)終止合同并向違約方索賠損失。
Should either joint-venture fail to pay the contribution on schedule
according to Clause 5, the default party should pay the other 10% of the
interest one month after the deadline. The other party shall hold the right to
terminate the contract or to claim the damage against / to him according to
Clause 53 thereof, if the default party fails to pay the contribution three
months after the deadline.
